Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PieceSync mobile application and related services ("the App") operated by Gracelink Team ("we", "us", or "our"). By downloading, installing, registering an account, or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the App.

1. Description of Service

PieceSync is a task collaboration tool designed to help students and teams manage group projects. The App provides the following core features:

• Creating and managing projects;
• Creating and managing tasks, including task descriptions, assignees, deadlines, and completion status;
• Publishing project announcements;
• Collaborating with project members, with real-time synchronization of project and task data across your devices;
• Push notifications for task assignments, deadline reminders, and project announcements, delivered via Firebase Cloud Messaging (FCM).

PieceSync offers both free basic features and optional paid subscriptions for premium features. The App interface supports both Chinese and English.

2. Account Registration

• Login credential: Your email address serves as the unique identifier for your PieceSync account and is used for registration, login, and account recovery. You may choose a username (nickname), which does not need to be unique and may be the same as other users' usernames.
• Accuracy: You agree to provide accurate and complete information during registration, and to use an email address that you are authorized to access.
• Security: You are responsible for maintaining the confidentiality of your account credentials (including your password and email access) and for all activities that occur under your account. Please notify us immediately if you suspect unauthorized access.
• One person, one account: You may not share your account with others or use another person's account without authorization.

3. Acceptable Use

You agree not to:

• Use the App for any unlawful, fraudulent, or harmful purpose;
• Upload, post, or transmit any content that is offensive, harmful, defamatory, discriminatory, obscene, or that infringes on the rights of others (including intellectual property and privacy rights);
• Create projects or tasks intended to harass, spam, or disturb other users;
• Attempt to gain unauthorized access to the App, other users' accounts, project data you are not a member of, or the underlying systems;
• Interfere with or disrupt the operation of the App, its servers, or the synchronization and notification services;
• Reverse engineer, decompile, or disassemble any part of the App, except as permitted by applicable law;
• Use automated means (bots, scrapers, scripts) to access the App or its APIs without authorization;
• Resell, sublicense, or commercially exploit the App or any part of the service without our written consent.

4. Intellectual Property

All rights, title, and interest in and to the App — including its design, code, graphics, branding, and trademarks — are owned by Gracelink Team and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to download and use the App for its intended purpose in accordance with these Terms. You may not copy, modify, distribute, or create derivative works of the App except as expressly permitted.

5. User Content and Collaboration

• Ownership: You retain ownership of the content you create within the App, such as project names, task descriptions, announcements, and related data ("User Content").
• License to us: By using the App, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and process your User Content solely for the purpose of providing, maintaining, syncing, and improving the service (for example, displaying tasks to project members and delivering notifications). We do not sell your User Content or use it for advertising.
• Responsibility for content: You are solely responsible for the User Content you create, submit, or share through the App. We do not actively monitor User Content but reserve the right to remove content that violates these Terms or applicable law.
• Collaboration visibility: You understand and agree that User Content within a project (including tasks, assignments, progress, and announcements) is visible to the members of that project. Do not add content to shared projects that you do not wish other members to see.
• Projects involving multiple members: Content created in a shared project is part of that project's collaborative data. If you leave a project or delete your account, that content may remain in the project for the benefit of other members, as described in our Privacy Policy.

6. Subscriptions, Payments, and Refund Policy

PieceSync offers both free basic features and optional paid subscriptions for premium features.

• Billing: All subscription fees are payable in advance and are billed through the applicable third-party platform (such as the Apple App Store or Google Play Store) or through payment channels we support. Subscriptions may renew automatically until cancelled, in accordance with the platform's terms.
• No refunds: Because our subscription prices are kept low, all payments are final and strictly non-refundable under any circumstances, except where required by applicable law. We do not offer refunds, credits, or exchanges for partially used subscription periods.
• Third-party platform purchases: If you purchase a subscription through a third-party platform, refund requests must technically be submitted to that platform; however, please note that our policy is no refunds, and we will not approve any refund requests. You are responsible for understanding the platform's own policies before making a purchase.
• Cancellation: You may cancel your subscription at any time through the platform where you purchased it. Cancellation stops future billing; access to premium features continues until the end of the current billing period.

By purchasing a subscription, you acknowledge and agree that all payments are final and non-refundable.

7. Service Availability and Changes

We strive to keep PieceSync available and reliable, including cross-device synchronization and push notification services. However, we may modify, suspend, or discontinue any part of the service (including individual features) at any time, with or without notice. We are not liable for any loss of data or functionality resulting from such changes, scheduled maintenance, or circumstances beyond our reasonable control (including failures of third-party services such as FCM or cloud hosting providers).

8. Termination

We may suspend or terminate your access to the App at any time, with or without notice, if we believe you have violated these Terms or for any other reason. You may also stop using the App and delete your account at any time.

Upon termination:

• Your right to access and use the App will cease immediately;
• You may lose access to your account and associated data;
• Project data shared with other members may be retained within those projects in accordance with our Privacy Policy;
• Sections that by their nature should survive termination (including Sections 4, 5, 8, 9, 10, and 11) shall survive.

9. Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the App will be uninterrupted, timely, error-free, or completely secure, and we do not guarantee that synchronization or push notifications will always be delivered without delay or failure.

10. Limitation of Liability

To the maximum extent permitted by law, Gracelink Team shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of projects or tasks, lost profits, or business interruption — arising from or related to your use of or inability to use the App, even if we have been advised of the possibility of such damages. Our total aggregate liability for all claims shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or fifty U.S. dollars (USD $50), whichever is less.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. We will notify you of significant changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the App after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the App.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the App shall first be addressed through good-faith negotiation by contacting us; if unresolved, it shall be subject to the exclusive jurisdiction of the courts of the applicable jurisdiction.
